1. Introduction

Welcome to Algomatic Labs. By accessing or using our services, you agree to comply with and be bound by the following terms and conditions. These Terms govern your use of all products, services, and software provided by Algomatic Labs. If you do not agree with these Terms, please do not use our services.

2. Definitions

- "Company" refers to Algomatic Labs, its subsidiaries, affiliates, and partners.

- "Client" or "Customer" refers to any person or organization purchasing or using our services.

- "Services" refer to the development, deployment, and maintenance of artificial intelligence automation tools, including but not limited to AI chatbots, AI phone agents, data modeling, IT consultation, business automation, and private local LLM installations.

- "Platform" refers to any software, website, or technology provided by Algomatic Labs.

3. Scope of Services

Algomatic Labs provides artificial intelligence consulting and development services tailored to the specific needs of small and medium enterprises (SMEs). These services may include, but are not limited to:

- AI chatbot development and hosting

- AI phone agent setup, configuration, and ongoing support

- Private local LLM installation and maintenance

- Data modeling and IT consultation

- Business process automation

- Custom AI automation solutions

All services are subject to fees as outlined in separate agreements or contracts.

4. Payment Terms

4.1 Fees

All services provided by Algomatic Labs are subject to fees. Clients agree to pay all charges in accordance with the agreed-upon rates as specified in individual contracts, proposals, or invoices. Services, including but not limited to AI phone agents/chatbots/etc, may have subscription-based fees (e.g., $75/month plus usage charges of $0.20 per minute).

4.2 Source Code and Documentation Access

If a Client requests access to all source code, automation blueprints, or any other development source files, an additional hourly fee of $75 per hour (with a minimum fee of $500 per project) will apply for the extraction and delivery of such documents.

4.3 Invoices and Payment Deadlines

Invoices will be issued on a regular basis or as per the agreed-upon schedule. Payment is due within 30 days from the date of the invoice unless otherwise specified. Algomatic Labs reserves the right to suspend or terminate services in the event of non-payment.

4.4 Late Payments

Late payments may incur additional fees, including but not limited to interest at a rate of 1.5% per month or the maximum amount permitted by law. Failure to pay may result in suspension or termination of services without notice.

5. Intellectual Property

5.1 Ownership

All intellectual property rights associated with the products, software, and services developed by Algomatic Labs remain the sole property of the Company, unless expressly transferred in writing.

5.2 Client Data

Clients retain ownership of their proprietary data shared with Algomatic Labs. However, the Client grants Algomatic Labs a non-exclusive, royalty-free license to use, store, and process Client data to perform the contracted services.

5.3 Restrictions

Clients shall not:

- Reverse engineer, decompile, or attempt to extract source code from any software or product provided by Algomatic Labs without proper authorization.

- Use any proprietary technology or service for unlawful purposes.

- Reproduce, copy, or distribute any intellectual property of Algomatic Labs without explicit written consent.

6. Confidentiality

Both parties agree to keep confidential any information exchanged during the course of their business relationship. Confidential information includes but is not limited to pricing, service specifications, business strategies, client data, and proprietary technologies.

Algomatic Labs will take all reasonable measures to ensure the security and confidentiality of Client information but will not be liable for unauthorized access or breaches that occur due to factors beyond the Company’s control.

7. Limitations of Liability

7.1 Disclaimer of Warranties

Algomatic Labs provides services on an "as-is" basis without warranties of any kind, whether express or implied. The Company does not guarantee that services will be uninterrupted, error-free, or free from security breaches.

7.2 Limitation of Liability

To the fullest extent permitted by law, Algomatic Labs shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use of its services, even if advised of the possibility of such damages. In any event, Algomatic Labs' liability is limited to the amount the Client has paid for the service in the preceding 12 months.

7.3 Third-Party Services

Algomatic Labs may integrate third-party APIs, software, or services as part of its offerings. The Company is not responsible for the performance, reliability, or security of such third-party services. Use of these services is subject to the third party’s terms and conditions.

8. Termination and Suspension

### 8.1 Termination by the Client

Clients may terminate their agreement with Algomatic Labs by providing 30 days’ written notice. Any fees for services already rendered will remain due.

8.2 Termination by Algomatic Labs

Algomatic Labs reserves the right to suspend or terminate services immediately and without notice if:

- The Client violates any of these Terms and Conditions.

- The Client fails to make payments when due.

- Continued provision of services would result in a violation of applicable laws or harm to Algomatic Labs’ reputation.

8.3 Effect of Termination

Upon termination, the Client's right to use any services, software, or products provided by Algomatic Labs will immediately cease. All outstanding payments will remain due.

9. Indemnification

Clients agree to indemnify and hold harmless Algomatic Labs, its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including attorney’s fees) arising out of:

- The Client’s breach of these Terms.

- The Client’s use of services provided by Algomatic Labs.

- Any unlawful or improper use of Algomatic Labs' services.

10. Data Security and Privacy

Algomatic Labs takes data security seriously and implements reasonable measures to protect Client data. However, no system is completely secure, and the Company does not guarantee absolute security. Clients are responsible for maintaining the confidentiality of their account credentials.

11. Modifications to Terms

Algomatic Labs reserves the right to modify or update these Terms and Conditions at any time without prior notice. The latest version will be posted on our website. Continued use of services after any changes constitutes acceptance of the new Terms.

12. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of the Province of [Insert Province], Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms will be resolved in the courts located in Gatineau,  Quebec, Canada.

13. Entire Agreement

These Terms and Conditions constitute the entire agreement between the Client and Algomatic Labs concerning the use of services and supersede any prior agreements, representations, or understandings.
